1. Acceptance of Terms
By accessing, registering for, or using VoiceOver Maker ("Service," "Services"), you ("User," "you," "your") agree to be bound by these Terms of Use ("Terms") and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.
These Terms constitute a legally binding agreement between you and Ondevtra Technologies ("Company," "we," "us," "our"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility and Age Requirements
You must be at least 16 years old to use VoiceOver Maker. If you are under 16, you may only use the Service with the consent and supervision of a parent or guardian who agrees to these Terms on your behalf.
By using the Service, you represent and warrant that:
- You meet the age requirement or have guardian consent
- You have the legal capacity to enter into these Terms
- You will comply with all applicable laws and regulations
- All information you provide is accurate and current
Enterprise customers may have additional eligibility requirements as specified in their separate enterprise agreements.
3. Description of Services
VoiceOver Maker provides text-to-speech ("TTS") services that convert written text into synthesized speech audio. Our Services include:
- Web Application: Browser-based interface for creating voiceovers and managing projects
- Text-to-Speech Generation: Conversion of text into audio using various voice models and languages
- Project Management: Storage and organization of your scripts, generated audio, and projects
- API Access: Programmatic access to TTS services (subject to API-specific terms and rate limits)
- Studio Features: Video editing and timeline management for multimedia projects
We support multiple languages and voice options. For optimal performance, we recommend using Chrome or Firefox browsers and ChatGPT Atlas for enhanced audio processing capabilities.
4. Account Registration and Responsibilities
4.1 Account Creation
To access certain features, you must create an account by providing an email address and creating a secure password. You may also register using OAuth providers (e.g., Google, GitHub) where available.
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized access or security breach
- Ensuring your contact information remains current
We are not liable for any loss or damage arising from your failure to protect your account credentials.
4.3 Account Termination by You
You may terminate your account at any time through your account settings or by contacting us at hello[at]voiceovermaker.com. Upon termination, your access will be revoked, and your data will be handled according to our Privacy Policy.
5. Subscription Plans and Credits
5.1 Available Plans
We offer the following subscription plans:
- Free Tier: 5,000 credits per month (limited features, no download)
- Starter Monthly: 100,000 credits per month
- Starter Yearly: 1.2 million credits per year
- Pro Monthly: 200,000 credits per month
- Pro Yearly: 2.4 million credits per year
- Enterprise: Custom credit limits and features (subject to separate agreement)
5.2 Credit System
Credits are consumed when you generate voiceovers:
- Each character of text costs 2 credits to convert to speech
- Credits reset at the beginning of each billing cycle
- Credits do not roll over to the next billing period
- When you upgrade your plan, previous credits are not carried over; you receive fresh credits based on your new plan
5.3 Plan Changes
You may upgrade your plan at any time through the Billing & Invoices section. Upgrades take effect immediately, and billing starts from the upgrade date. Downgrades are not available—you can only upgrade to a higher tier plan. For downgrades or cancellations, contact support.
6. Billing and Payment Terms
6.1 Payment Processing
All payments for web subscriptions are processed securely through Stripe, Inc. ("Stripe"). By providing payment information, you authorize Stripe to charge your payment method for:
- Initial subscription fees
- Automatic renewal fees
- Any additional charges authorized by you
Stripe handles payment processing, including calculation and remittance of applicable taxes (VAT, GST, sales tax) where required. We do not store complete payment card information on our servers.
6.2 Billing Cycles
- Monthly Plans: Billed every month on the same date you subscribed or upgraded
- Yearly Plans: Billed once per year on your subscription anniversary date
Billing starts immediately upon subscription or upgrade (not prorated for the current billing period).
6.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You authorize us (via Stripe) to charge your payment method for renewal fees until you cancel.
6.4 Payment Methods and Updates
You must keep your payment information up to date. You can update your payment method through the Stripe Customer Portal (accessible via "Billing & invoices" in the Service). If payment fails:
- We will attempt to notify you via email
- Your subscription may be paused until payment is successfully processed
- Access to paid features may be restricted
6.5 Invoices and Receipts
Invoices and receipts are automatically generated and available for download through the Stripe Customer Portal. You can access your payment history, download invoices as PDFs, and update billing information at any time.
6.6 Price Changes
We reserve the right to modify subscription prices. For existing subscribers, price changes will take effect at the start of the next billing cycle after 30 days' notice. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.
6.7 Refunds
Refund eligibility and procedures are governed by our Refund & Cancellation Policy. Generally:
- Refunds are not available for partially used subscriptions
- Refunds may be considered on a case-by-case basis for technical issues or service failures
- Enterprise customers are subject to terms specified in their agreements
7. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Illegal Activities: Use the Service for any unlawful purpose or in violation of applicable laws
- Harmful Content: Generate, upload, or transmit content that is defamatory, harassing, threatening, obscene, or harmful
- Intellectual Property: Infringe upon copyrights, trademarks, or other intellectual property rights
- Impersonation: Create voiceovers that impersonate individuals without explicit consent
- Fraud or Deception: Use generated audio for fraudulent, deceptive, or misleading purposes
- Abuse: Attempt to circumvent usage limits, rate limits, or security measures
- Reverse Engineering: Attempt to reverse engineer, decompile, or extract source code
- Automated Access: Use bots, scrapers, or automated systems without authorization (except through official API with proper credentials)
- Service Disruption: Interfere with or disrupt the Service, servers, or networks
- Account Sharing: Share account credentials or allow unauthorized access
We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy without refund.
8. Content Ownership and Rights
8.1 Your Content
You retain all ownership rights to:
- Text scripts and input content you provide
- Generated audio files created using our Service
- Projects, metadata, and other user-generated content
By using the Service, you grant us a limited, non-exclusive, royalty-free license to:
- Process, store, and transmit your content to deliver the Service
- Store your content to provide history and collaboration features
- Use anonymized, aggregated data for service improvement (without identifying you or your specific content)
8.2 Our Intellectual Property
Ondevtra Technologies retains all rights, title, and interest in:
- The VoiceOver Maker applications, software, and code
- Documentation, branding, logos, and trademarks
- Machine learning models, algorithms, and underlying technology
- Service architecture, APIs, and infrastructure
You may not copy, modify, distribute, sell, or create derivative works based on our intellectual property except as expressly permitted by law or these Terms.
8.3 Third-Party Content and Rights
You represent and warrant that:
- You have the right to use any text content you submit
- Your use of generated audio complies with applicable laws and third-party rights
- You have obtained necessary permissions for any third-party content included in your projects
You agree to indemnify and hold harmless Ondevtra Technologies from any claims arising from your use of content that infringes third-party rights.
8.4 Commercial Use
Subject to your subscription plan, you may use generated audio for commercial purposes. Enterprise customers may have additional commercial use rights as specified in their agreements.
9. Service Availability and Modifications
9.1 Availability
We strive to provide reliable, high-availability service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:
- Planned maintenance (we will provide advance notice where possible)
- Unplanned technical issues or emergencies
- Third-party service outages
- Force majeure events
9.2 Service Modifications
We reserve the right to:
- Modify, update, or discontinue features or services
- Change pricing, credit allocation, or subscription terms (with notice)
- Implement usage limits or rate limiting
- Update software, security measures, or infrastructure
We will provide reasonable notice of material changes that affect your use of the Service.
10. API Usage Terms
If you access our Services through our API:
- You must use authenticated API keys and JWTs issued by us
- You must comply with published rate limits and usage guidelines
- You must implement HTTPS and secure credential storage
- You must handle personal data in accordance with our Privacy Policy
- We may revoke API access for abuse, security issues, or Terms violations
Enterprise API agreements may include additional SLAs, dedicated support, and custom rate limits.
11. Data Storage and Retention
Your content and data are stored in our secure infrastructure:
- Storage: Encrypted databases and file storage with access controls
- Backups: Regular automated backups with point-in-time recovery
- Retention: Data is retained while your account is active and for 30 days after deletion (to allow recovery)
- Deletion: You can delete your content at any time; permanent deletion occurs 30 days after account deletion
Enterprise customers may request data residency in specific regions (EU, US, APAC) and custom retention policies.
12. Support and Service Level
12.1 Support Availability
Support is provided via email at hello[at]voiceovermaker.com during business hours (Monday–Friday, 10am–6pm IST). Response times vary by plan:
- Free & Starter Plans: Best effort, typically within 2-3 business days
- Pro Plans: Priority support, typically within 24 hours
- Enterprise: Dedicated support channels and response-time commitments as specified in agreements
12.2 Service Level Agreements
While we aim for high availability, we do not guarantee specific uptime percentages for standard plans. Enterprise customers may have uptime SLAs as specified in their agreements.
13. Termination
13.1 Termination by You
You may cancel your subscription and close your account at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period unless you request immediate termination.
13.2 Termination by Us
We may suspend or terminate your account immediately if:
- You violate these Terms or our Acceptable Use Policy
- You engage in fraudulent, abusive, or illegal activity
- Payment fails and is not resolved after reasonable notice
- We are required to do so by law or legal process
- We discontinue the Service (with reasonable notice and refund for unused prepaid periods)
13.3 Effect of Termination
Upon termination:
- Your access to the Service will be revoked
- Your data will be retained for 30 days, then permanently deleted (subject to legal retention requirements)
- You will not receive refunds for unused subscription periods unless required by law
- Sections of these Terms that by their nature should survive (e.g., intellectual property, liability limitations, dispute resolution) will continue to apply
14. Disclaimers and Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Service will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy, reliability, or quality of generated audio
- Warranties that defects will be corrected
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONDEVTRA TECHNOLOGIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages resulting from use or inability to use the Service
- Damages resulting from unauthorized access, alteration, or deletion of data
OUR AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.
16. Indemnification
You agree to indemnify, defend, and hold harmless Ondevtra Technologies, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights (including intellectual property rights)
- Your violation of applicable laws or regulations
- Content you submit, generate, or transmit through the Service
17. Dispute Resolution and Governing Law
17.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
17.2 Jurisdiction
The courts located in Gurugram, Haryana, India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service, subject to mandatory consumer protection laws that may apply in your country of residence.
17.3 Dispute Resolution Process
Before initiating formal legal proceedings, you agree to:
- Contact us at hello[at]voiceovermaker.com to attempt to resolve the dispute
- Engage in good faith negotiations for at least 30 days
Enterprise customers may have alternative dispute resolution processes (e.g., arbitration, mediation) as specified in their agreements.
17.4 Class Action Waiver
You agree that any disputes will be resolved individually, and you waive any right to participate in class actions, consolidated proceedings, or representative actions.
18. Changes to These Terms
We may update these Terms from time to time to reflect:
- Changes in our Services or business practices
- Legal or regulatory requirements
- Clarifications or corrections
We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes indicates acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and close your account.
19. Miscellaneous
19.1 Entire Agreement
These Terms, together with our Privacy Policy and any enterprise agreements, constitute the entire agreement between you and Ondevtra Technologies regarding the Service.
19.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
19.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
19.4 Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
19.5 Force Majeure
We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, wars, pandemics, or third-party service failures.
